A charity trustee is a volunteer who holds legal responsibility for governing a charity, ensuring it fulfils its mission, acts legally, and manages resources properly. They set strategic direction, oversee finances, and manage risks to ensure the charity serves its beneficiaries effectively.

The trustees may also be called the Board, governors, or directors.

Trustee Board Operating Procedures Summary

Decision Making

The Board convenes quarterly, or more frequently if circumstances require, and a minimum of three trustees is necessary for a quorum. Trustees are also expected to attend the Annual General Meeting.

Lead trustees or committees may be appointed as appropriate, with powers and reporting requirements delegated to them as needed. All decisions are taken collectively by the Board and are documented in the meeting minutes to ensure transparency and accountability.

Appointment of New Trustees

When new trustees join the Board, they are provided with the CC3 guidance and all relevant documents. To aid their integration, each new trustee is paired with a mentor from the existing Board. Continuous development training is encouraged for all trustees to ensure ongoing professional growth and effective governance.

Trustee Responsibilities

Board members are required to exercise skill, care, and independent judgement in their duties. They must avoid conflicts of interest and act in the best interests of the charity at all times. Decisions should be made in accordance with the governing document and established good practice. Trustees with conflicts of interest are excluded from relevant discussions. Compliance with health and safety and environmental legislation is mandatory.

Charity Governance Code

The Charity Governance Code offers a framework for good governance. While adherence to the Code is encouraged, it is not a legal requirement.

External Professional Advice

The Board may seek external professional advice whenever necessary. Due diligence is carried out, and there is ongoing monitoring of external agencies to ensure that advice and support remain appropriate and effective.

Efficient Conduct of Board Business

The Chair is responsible for ensuring that Board business is conducted efficiently. This includes prioritising relevant skills, promoting diversity, and fostering a positive culture. Key responsibilities comprise the management of meetings, ensuring legal compliance and addressing any training needs among trustees.

Board Skills & Experience

·        Chair: Must demonstrate strong leadership abilities, effective communication skills, and a sound understanding of charity law.

·        Trustees: Should exhibit passion for the charity’s work, strategic thinking, and sound judgement.

Board Functional Skills

The Board should collectively possess a range of professional skills, including expertise in finance, marketing, legal matters, governance, human resources, information technology, and risk management.
